MAP POLICY
Bullseye Holsters Minimum Advertised Price (MAP) Policy
Purpose
DIYZ, Inc. d/b/a Bullseye Holsters (“Bullseye Holsters”) has established this Minimum Advertised Price (“MAP”) Policy to protect the integrity of the Bullseye Holsters brand, support the perceived value of its products, and promote fair competition among its authorized dealers and distributors.
This policy explains:
What constitutes a MAP violation
How potential violations may be addressed
The possible consequences of noncompliance
1. Scope of the Policy
This policy applies to all authorized dealers, distributors, resellers, and other parties advertising Bullseye Holsters products.
The minimum advertised price for each covered product is identified on Bullseye Holsters’ current dealer or distributor price list, or in another written MAP schedule issued by Bullseye Holsters.
Bullseye Holsters may add or remove products, revise MAP prices, or otherwise modify this policy at any time. Updated pricing or policy terms will become effective upon the date specified in the applicable notice.
2. MAP Policy Enforcement
Covered Bullseye Holsters products may not be advertised below the established MAP on any public-facing platform or through any advertising method.
Examples of MAP violations include, but are not limited to:
Displaying a price below MAP on a public website, online marketplace, social-media platform, or other digital storefront
Advertising below-MAP pricing through email promotions, text messages, digital advertisements, printed advertisements, catalogs, or direct-mail materials
Using banners, pop-ups, automated messages, or similar tools to communicate a below-MAP price
Displaying a below-MAP price after a product has been added to a shopping cart, including “add to cart to see price” tactics
Applying publicly advertised coupon codes, promotional codes, rebates, or automatic discounts that reduce the advertised price below MAP before the customer completes the transaction
Offering free or discounted products, accessories, services, gift cards, store credit, or other incentives that effectively reduce the advertised value of the covered product below MAP
Advertising a bundled offer in which the combined advertised value effectively places a covered Bullseye Holsters product below MAP
Using strike-through pricing, pricing comparisons, or other presentation methods that communicate a below-MAP advertised price
In-cart pricing that appears below MAP at any time before checkout constitutes a violation of this policy.
MAP compliance is required throughout the customer’s shopping experience, up to and including the point at which the customer initiates checkout.
Bullseye Holsters may approve specific promotions, bundles, coupon codes, or temporary exceptions in writing. Unless Bullseye Holsters provides prior written authorization, such offers remain subject to this policy.
3. Final Selling Prices
This policy applies only to advertised prices. Each dealer or distributor remains independently responsible for establishing its own final resale prices.
Bullseye Holsters does not request, require, or accept any agreement from a dealer or distributor concerning the price at which a product is ultimately sold. Nothing in this policy restricts a dealer from selling a product at any price it independently determines, provided that any public advertising remains compliant with this policy.
4. Violation Procedures
If Bullseye Holsters determines that a dealer or distributor has violated this policy, Bullseye Holsters may take any enforcement action it considers appropriate under the circumstances.
Possible enforcement actions include, but are not limited to:
Notification of the violation and a request for immediate corrective action
Suspension or restriction of ordering or selling privileges
Temporary placement on a Do Not Sell list
Permanent placement on a Do Not Sell list
Cancellation of pending orders, where legally and contractually permitted
Termination of the dealer’s or distributor’s authorized status
Any other action Bullseye Holsters determines to be appropriate
Bullseye Holsters reserves the right to determine the appropriate response based on the nature, severity, frequency, circumstances, or apparent intent of the violation.
Enforcement actions may be escalated, reduced, modified, or waived at Bullseye Holsters’ sole discretion. Bullseye Holsters is not required to provide warnings or apply the same enforcement action in every instance.
5. Dealer and Distributor Responsibilities
Each dealer and distributor is responsible for monitoring its own advertising and promotional practices, including activities conducted by its:
Employees and representatives
Affiliates or subsidiaries
Third-party marketers
Advertising agencies
Marketplace accounts
Automated pricing or promotional systems
Upon receiving notice of a violation, the dealer or distributor must take immediate corrective action.
A dealer’s failure to identify or prevent pricing produced by automated software, third-party systems, marketplace tools, or outside service providers does not excuse a violation.
6. Resellers and Third-Party Marketplaces
Authorized dealers and distributors may not knowingly supply covered Bullseye Holsters products to unauthorized resellers or to parties that the dealer or distributor knows, or reasonably should know, are violating this policy.
Sales through third-party marketplaces are subject to Bullseye Holsters’ separate marketplace requirements, if applicable, and may require prior written authorization.
7. Policy Administration
This is a unilateral policy adopted and administered solely by Bullseye Holsters. It is not an agreement between Bullseye Holsters and any dealer or distributor.
Bullseye Holsters does not seek and will not accept assurances of compliance, agreements concerning resale prices, or negotiations regarding this policy.
Bullseye Holsters sales representatives and employees are not authorized to negotiate this policy, modify its terms, or enter into any agreement concerning resale prices.
8. No Waiver
Bullseye Holsters’ failure to enforce any portion of this policy at any time will not constitute a waiver of its right to enforce the policy in the future.
Each potential violation may be reviewed and addressed independently.
9. Confidentiality
To the extent permitted by applicable law, violation notices and enforcement communications issued under this policy are confidential business communications and may not be publicly distributed or used for promotional purposes without Bullseye Holsters’ prior written authorization.
This provision does not prohibit disclosures required by law or disclosures made to a dealer’s legal, tax, or professional advisers.
10. Governing Law
This policy is governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict-of-law principles.
Bullseye Holsters reserves the right to amend, suspend, or discontinue this policy at any time.
